Assistant Manager / Manager – Special Situations M&A


About the Role

We’re looking for an experienced Assistant Manager / Manager to join a growing Special Situations M&A team. This role offers the opportunity to work on complex, high-impact transactions, supporting clients through critical business challenges and delivering tailored corporate finance solutions. The client is a leading advisor, with excellent deal flow and access to highly impactful transactions.

As an AM/Manager you’ll play a key role across the deal lifecycle, working closely with senior stakeholders while also supporting and developing junior team members. From a technical standpoint, you will interrogate financial models, debt term sheets and seek to secure the best commercial terms in an AMA process.


The role itself:

As part of a collaborative and high-performing team, you will:

  • Lead and support key aspects of Accelerated M&A transactions from start to finish, with real deal ownership and autonomy..
  • Prepare compelling pitch materials and proposals to win new business and secure the sale of distressed firms
  • Develop marketing materials, including information memoranda
  • Coordinate transaction processes- from the dataroom to having difficult conversations with stakeholders.
  • Prepare and review key documentation such as business plans, financial models, and transaction structures
  • Conduct market research, buyer/target analysis, and valuation work
  • Support both buy-side and sell-side mandates
  • Assist with client onboarding and compliance processes
  • Contribute to business development and networking initiatives. 

What We’re Looking For

  • Experience in Special Situations M&A, M&A or restructuring
  • Professionally qualified (ACA / ACCA or equivalent)
  • Strong financial analysis, modelling, and commercial acumen
  • Excellent communication and stakeholder management skills
  • A proactive mindset with the ability to manage multiple priorities
